Agra

Agra is recruiting a Legal Advisor, to be based in Windhoek, Namibia.
Description
  • The successful incumbent will be based at Corporate Office
Duties
  • Initiate and manage the legal debt collection process for overdue accounts
  • Draft and issue demand letters, negotiate settlements, and engage with external legal counsel where necessary
  • Represent the company in legal proceedings related to debt recovery
  • Monitor and report on delinquent accounts and recovery efforts
  • Provide legal advice and support on a wide range of corporate, commercial, and regulatory matters
  • Attending to all litigation and legal action that Agra may be exposed to and co-ordinating various external service providers in this process
  • Draft, review, and assist with negotiating contracts, agreements, and other legal documents
  • Ensure all legal documents align with company policy, applicable laws, and risk mitigation strategies
  • Evaluate existing organisational documents to identify gaps and ensure alignment with legal and risk mitigation requirements
  • Maintain a repository of contracts and monitor renewal and termination dates
  • Provide advice on matters of employment law, intellectual property, data protection, corporate governance etc
  • Support mergers, acquisitions, and other strategic transactions
  • Train staff on legal topics and implication issues
  • Acting as the custodian for company ethics and values
  • Accepts a measure of responsibility for shareholder communication and ensure their interests and expectations are attended too
  • Driving a culture of continuous improvement in terms of legislation and principles
  • Ensuring that legal risk is minimised and legal advantages are optimised
  • Ensuring that all compliance and legal aspects of all new products and initiatives are completed within timelines agreed or required, performing due diligence and the assessment thereof
  • Providing advice to the Board of Directors, Exco and Management on all matters that have legal implications or expose Agra to legal risk.
  • Monitor and interpret changes in relevant laws, regulations, and industry standards
  • Ensure the company’s operations remain compliant with all applicable legal and regulatory requirements
  • Drafting appropriate policies and ensuring consistent application of such policies and best commercial practices in line with overall company strategy
  • Development and implementation of any new legal documentation and procedures or amendments to existing company documentation and procedures
  • Liaising with external lawyers, internal & external auditors and internal functions
  • Keeping abreast of the latest legislation, including statutory, regulatory and corporate governance requirements as it applies to Agra and ensuring Exco are aware of these legal requirements, their impact on the business, etc
  • Develop and maintain relationships with all relevant statutory and regulatory authorities
  • Representing Agra at various professional, business and commerce events as nominated by Exco
  • Maintaining and safe-keeping of company records
Requisites
  • Qualifications & Attributes:
  • Namibian citizenship
  • A Bachelor of Laws (LLB) from a recognized tertiary institution
  • Admitted as a Legal Practitioner
  • Minimum of 5 years experience in a corporate and/ or legal environment
  • Membership of the Chartered Institute of Secretaries (CIS) will be an added advantage
  • A company secretarial specific qualification (eg: CSSA) will be an added advantage
  • Experience in the understanding of credit facilities assessments and associated collateral requirements
  • Experience in debt collection
  • Knowledge of supplier and related agreements
  • Knowledgeable on FATCA and foreign exchange regulations
  • Knowledge in the Petroleum Industry & Law, Corporate governance (King I, II, III & IV, Law of Contracts, Labour Law and Competition Legislation, will be added advantages
  • Computer literacy (Microsoft Office package and Enterprise Resource Planning system)
  • Proficiency in English (written and spoken)
  • A valid driver’s license
